Keyman Insurance for UAE Business Owners

Keyman insurance helps protect a business financially if a founder, director or essential employee dies. It is also called key person, key man or key employee insurance. Critical illness or disability protection may also be included, subject to the selected benefits and policy conditions. An approved claim payment can help fund ongoing business expenses, the cost of replacing that person and business recovery.

At Clarity Financial Consultancy, Dr Rafiya Mushtaq reviews how much funding your business may need, what existing insurance already covers, and who would receive the proceeds.

  • Calculate the cash needed for wages, bills and replacement costs.
  • Identify who receives the money, including any lender with policy rights.
  • Compare premiums and end dates against the years you need protection.

Keyman Insurance Reviews for Founder-Led Businesses, Clinics and Distributors

  • Founder-led businesses: Revenue depends on one person.
  • Clinics: Revenue depends on a lead doctor or specialist.
  • Pharma and medical-device distributors: Depend on one person for relationships with suppliers, customers or companies the business represents.
  • Business owners: Need to review lender requirements, personal guarantees or existing key person policies.
  • Business partners: Need to assess recovery costs and separate funding for a shareholder buyout.

Our Review of the First 72 Hours Without a Key Person

We start with the work and payments that cannot wait. A founder, director or employee may control customer work or payment approvals. We discuss who could take over and confirm their authority from the records.

What could stop?

Records we examine

Decision needed

Customer work

Contracts, deadlines and account responsibilities

Who can complete or approve the work?

Wages, supplier payments and loan instalments

Due dates and available bank funds

Which bills can the business pay?

Payment approvals

Bank mandate naming authorised signers and their limits

Who already has authority to approve payments?

If a clinic depends on one doctor, their absence may reduce appointment income. Staff wages and rent may still fall due during that period. We identify urgent work and the people authorised to act.

Urgent bills can fall due before an insurance claim is assessed and paid. We review accessible business cash, payment authority and the bills that cannot wait alongside the proposed insurance. The first 72 hours describe business disruption, not an insurance payment deadline.

How Clarity Financial Consultancy Helps With Keyman Insurance

We assess new and existing key person insurance in the UAE. A lender request, shareholder change or question about current insurance can start the discussion. We base any proposed changes on the accounts and current contract terms.

Dr Rafiya Mushtaq trained in Unani medicine and holds a BUMS, an MBA and the CISI International Certificate in Wealth & Investment Management, Level 3.

  • Keep existing insurance when the amount, benefits and payment rights meet the need.
  • Ask the insurer to change the amount, benefits or ownership.
  • Assess additional insurance for a need the existing policy does not cover.

Missing documents alone do not show that you need new insurance. Before you cancel existing cover, we verify acceptance, terms and the new start date. The insurer decides applications and claims under its terms; your lender confirms loan requirements. A legal adviser reviews share-sale terms and company signing powers.

Our financial assessment covers funding amounts, payment rights, premiums and policy dates. We agree the work and any fee before the assessment starts. The written findings explain whether existing insurance meets the need.

Your Keyman Insurance Review in Writing

We provide written findings for each insured person and business need. The summary records figures and documents supporting the amount, ownership and policy term. Missing documents and unresolved questions appear beside the decisions they affect.

  • The funding need and supporting assumptions.
  • Existing cover, payment recipients and lender rights.
  • Remaining shortfalls and proposed next steps.

If you report a lender assignment without supplying it, we record the missing document. We request insurer confirmation before counting that money towards business recovery. Refinancing, shareholder changes or handover can require new amounts, recipients or policy dates.

Business Recovery, Loan Protection and Shareholder Funding

Business recovery, loan repayment and shareholder buyout funding serve different purposes. They may require different policy ownership, payment arrangements and legal agreements. We assess each need separately and avoid counting the same funding twice.

Business income and replacement costs

We identify sales and client work that depend on the person. Continuing bills, temporary help, recruitment and training can all add to recovery costs. The affected business must have the right to receive money for those costs.

Business loans and director loans

Loan records show the balance, repayment dates and any personal guarantees. A personal guarantee can make you responsible if the business cannot repay. Credit life insurance attached to the loan may already pay the lender. We ask the lender what debt and guarantees would remain after that payment.

Read moreRead less

A director loan records money owed between the director and the company. We record who owes whom and the agreed repayment terms. This debt differs from the value of shares in the business.

Shareholder buyout funding

Shareholder protection insurance can fund a share purchase after a covered event. We examine the proposed buyer, valuation date and agreed share price. A legal adviser reviews the sale agreement; insurance does not transfer shares.

Protect Working Capital During Business Recovery

An approved insurance payment can fund recovery without using money reserved for trading. We compare available cash with bills that cannot wait. Working capital is short-term business assets minus short-term debts. Those assets include cash, stock and money owed by customers.

  • Stock: goods held for sale; their recorded value is not bank cash.
  • Unpaid invoices: money customers owe, with expected payment dates.
  • Committed cash: amounts already set aside for wages, suppliers or tax.

Your accounts might show AED 300,000 due from customers in 45 days. Those invoices cannot pay wages this week without another cash source. Profit kept in the business may already have funded equipment or loan repayments. We count money available for recovery without leaving other bills unpaid.

Review Payout Conditions for Death, Critical Illness and Disability

We read the policy schedule, full terms and any later changes. The schedule names the insured person and lists the amounts and benefits. The full terms set the conditions for each claim.

Benefit

Conditions we examine

Amount we record

Death

The insured person, active cover and events the contract excludes

The death benefit under the current terms

Critical illness, if included

Listed conditions, medical definitions and any minimum survival period after diagnosis

The illness payment and remaining life cover

Permanent total disability, if included

The disability definition, ability to work and how long the condition must last

The disability payment and any reduction in other benefits

Some illness benefits require the person to survive for a stated period. We record how long that survival period lasts and when it starts. Any waiting period can restrict claims soon after cover starts. Neither period is the insurer's deadline for paying a claim.

  • Accelerated critical illness: an illness payment reduces the remaining life insurance amount. We record what would remain after that payment.
  • Joint-life insurance: the policy may end after the first covered event. The other person may then need separate insurance.
  • Terminal illness: cover depends on how long the person is expected to live. The policy sets that limit; critical illness uses listed medical definitions.
  • Premium waiver: this pays or removes premiums under the contract terms. It provides no cash for wages or suppliers.

A short absence alone does not prove permanent total disability. Some contracts test ability to do other work, not only the current job. Falling sales or resignation alone cannot support a life or critical illness claim. A fixed lump-sum benefit pays the contract amount, rather than reimbursing each bill.

Confirm the Policy Beneficiary and Any Lender Assignment

We record who can receive each death, illness or disability payment. The policy amount can exceed the money available for business recovery. A policy paying your family does not automatically fund the company.

  • Policy owner: the person or company controlling the contract, subject to its terms.
  • Insured person: the person whose life or health the policy covers.
  • Premium payer: the person or company paying the insurance premiums. Paying premiums alone does not decide who receives a claim payment.
  • Beneficiary: the person or business named to receive a specified payment. A death payment may have a different recipient from an illness payment.
  • Lender assignment: a document transferring specified policy rights to a lender. We confirm which benefits it affects and who receives payment first. We identify the documents needed to remove those rights after loan repayment.

Suppose the insurer approves AED 2 million after a claim. The lender has a confirmed right to AED 1.4 million. The balance is AED 600,000 before other commitments. We count it towards recovery only after confirming the company can receive it.

We use the exact company name from mainland or free-zone registration records. The company earning the income may differ from the company owing the loan. Owning several companies does not give each company rights to the same payout.

Keyman Insurance vs Personal Life Insurance

Keyman insurance is generally structured to protect the business, while personal life insurance is generally structured to protect the family. A family policy should not automatically be counted as money available for company bills. Equally, company-owned cover should not be assumed to meet the family’s personal financial needs. Check the recipient of each benefit and any lender rights.

Calculate the Cash Needed During Business Recovery

We calculate continuing bills minus the money expected during recovery. Recruitment and training costs add to that shortfall. We deduct cash available for recovery and record when each bill falls due. The sum assured is the insurance amount stated in the policy.

Loan repayments and share purchases are calculated separately so the same cost is not counted twice. The insurer decides which amount it will accept for the proposed protection.

Deduct existing insurance only where it covers the same person, event and funding need, with payment available to the intended recipient after any lender entitlement. Death-only cover should not be deducted from the funding needed following a critical illness.

For a step-by-step worked example in AED, read How Much Keyman Insurance Does Your UAE Business Need?

Types of Keyman Insurance Policy

The policy type should match what the money is for and how long the need lasts.

  • Level term: a fixed cover amount for a set number of years.
  • Decreasing term: cover reduces over time and may be matched to a loan being repaid. Check it still covers the balance at each date.
  • Whole of life: cover can last for the insured person’s lifetime, usually at a higher premium.

Plan the Policy Term for Each Key Person

We match the policy term to the years the business needs protection. A 6-month recovery need could arise at any point during the years the policy must cover. Loan repayment, retirement and handover dates can each affect that period.

  • Policy end date: the date the overall insurance ends.
  • Benefit end dates: illness or disability protection may finish before life cover.
  • Age limits and reductions: dates when the contract reduces or ends benefits.
  • Borrowing period: expected loan renewals as well as the current repayment date.

Retirement or departure can leave guarantees or a share purchase to fund. We reassess the remaining need before proposing a policy change. We confirm permitted changes with the insurer before changing the contract.

Extending insurance may require new evidence or a different premium. We raise planned moves outside the UAE and company changes with the insurer. Any effect on continued cover, premium payments or ownership needs confirmation.

Compare Premiums Over the Full Policy Term

Premiums are the payments made to keep insurance in force. We compare prices for the same person, benefits, amount and policy term. The comparison includes restrictions that can affect a claim. For existing insurance, we compare future premiums and the benefits still included.

Colleagues comparing figures in a financial report
  • Price inputs: age, health, smoking, amount, benefits and policy term.
  • Fixed premiums: the contract guarantees the price for a stated period.
  • Reviewable premiums: the insurer can change the price under the agreed terms.
  • Currency: exchange-rate changes and conversion charges can affect the cost in AED.
  • Payment frequency: compare the total paid through monthly or annual payments.

An initial quote can change after the insurer assesses health and business information. We separate confirmed future premiums from amounts that depend on later reviews. The payout can reduce over time while premiums stay the same.

The comparison separates protection-only policies from those with savings or investment features. Protection premiums do not automatically return if the business makes no claim. Any proposed tax savings need confirmation from your accountant.

Prepare for Keyman Insurance Underwriting

Applications for keyman insurance in the UAE need financial and personal information. Underwriting is how the insurer assesses risk before offering cover and setting terms. We organise the records the insurer requests for the proposed cover.

  • Financial underwriting: accounts, role details, existing insurance and relevant loan or share valuations. These support the requested amount and help show insurable interest. That includes the financial loss the business could suffer if the person dies.
  • Personal and medical underwriting: health, occupation, residence and travel information requested from the individual. The insured person normally completes and signs the application, including health questions and consent.
  • Company and identity checks: trade licence, incorporation records, ownership details and accepted identification. Requirements vary; we confirm when the insurer needs an Emirates ID or other documents.

A new business can submit forecasts, contracts and a business plan. We include existing insurance and other applications in the requested information. Forecasts and existing policies do not guarantee approval for the amount requested.

The insurer may request medical tests or more financial evidence. It may offer different terms or decline the application. We record outstanding requirements and the conditions for starting cover. A quote or submitted application alone does not confirm that insurance has started.

Match Keyman Insurance to Your Business Continuity Plan

We connect insurance funding with the responsibilities in your business continuity plan. Urgent bills need funds before an insurer can assess and pay a claim. Named people need authority to continue work and use the money.

  • A temporary business lead manages customer commitments and deadlines.
  • An authorised finance contact approves bills using accessible funds.
  • A claim contact notifies the insurer and gathers requested documents.
  • An authorised person decides how to spend money left after any lender payment.

Naming someone in a plan does not create bank or company signing powers. We identify permissions that need confirmation from the bank or legal adviser. Authorised contacts need the documents required to submit and manage a claim.

Keep policy documents, assignments and insurer contacts accessible to those authorised people. Medical or death evidence may only become available after the event.

What Happens When a Keyman Insurance Claim Is Made?

The process and documents depend on the policy, the event and who is authorised to act for the business.

  1. Notify the insurer promptly. Check the policy for notification requirements and time limits.
  2. Gather the requested documents. These may include the claim form, policy details, identification, death certificate or medical evidence, company documents and evidence of authority to act.
  3. Check overseas-document requirements. For an event outside the UAE, ask the insurer whether certification, attestation or translation is required.
  4. Confirm who is entitled to payment. Check the policy ownership, benefit recipient and any lender assignment. Do not assume the full benefit will be available for business recovery.
  5. Respond to further requests. The insurer may seek additional information before deciding the claim.
  6. Allocate any approved payment appropriately. Follow the policy, assignment, applicable agreements and the business’s recovery arrangements.

Prepare a claim file now

Keep policy documents, assignments, insurer contact details and records showing who can act for the company accessible to the authorised people.

The insurer assesses the claim and determines any payment under the policy terms. Any assistance available through Clarity will be confirmed within the agreed service scope.

Keyman Insurance FAQs

How much keyman insurance does a business need?

The amount depends on the financial impact, recovery period, relevant debts, available cash and existing cover. We assess these separately and avoid double counting. See the worked example in our supporting article.

Are keyman insurance premiums tax deductible in the UAE?

UAE Corporate Tax generally allows a deduction for expenditure incurred wholly and exclusively for the business that is not capital in nature, under Article 28 of Federal Decree-Law No. 47 of 2022. Whether keyman premiums meet that test, and how a claim payment is treated, can depend on the purpose and structure of the policy and on free-zone status. Confirm the position with your tax adviser before relying on any deduction.

Does the key person need to consent to the policy?

Yes. The insured person normally completes and signs the application, including health questions, even when the business pays the premiums.

What happens if the key person leaves, retires or sells their shares?

The business’s financial interest in that person may end. Depending on the contract, options can include cancelling the policy, transferring ownership to the individual or changing the cover. Confirm the options, and any tax effect, before changing anything.

Does keyman insurance pay if the key person resigns?

No. Resignation, retirement or falling sales do not create a death, critical illness or disability claim. The policy pays only for the covered events in the contract.

How long does a keyman insurance claim take?

There is no single timeframe for every claim. Timing depends on the policy, the event, the documents supplied and any further checks. Ask the insurer for its requirements and an expected timeline for the particular claim.
